Agreement to Terms

By accessing or using the Illicus website ("Site") or engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or services.

Services

Illicus provides technical consulting services including but not limited to infrastructure audits, security assessments, cloud migrations, and fractional executive services. Specific services, deliverables, timelines, and fees are defined in individual service agreements ("SOWs") executed between Illicus and clients.

Website Use

You may use our Site for lawful purposes only. You agree not to:

• Use the Site in any way that violates applicable laws
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Site
• Collect user information without consent
• Use automated tools to scrape or access the Site

Intellectual Property

The Site content, including text, graphics, logos, and software, is owned by Illicus and protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

For client engagements, intellectual property rights are governed by the applicable SOW. Generally, clients retain ownership of their existing IP and materials, and receive ownership or license to deliverables as specified in the SOW.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of an engagement. Specific confidentiality terms are detailed in our standard NDA and individual SOWs.

Limitation of Liability

To the maximum extent permitted by law, Illicus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our Site or services.

Our total liability for any claims arising from an engagement shall not exceed the fees paid by the client for the specific services giving rise to the claim.

Indemnification

You agree to indemnify and hold harmless Illicus and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these Terms or your use of our services.

Disclaimer of Warranties

The Site is provided "as is" without warranties of any kind. We do not guarantee that the Site will be uninterrupted, secure, or error-free.

For consulting services, specific warranties and service levels are defined in individual SOWs.

Governing Law

These Terms are governed by and construed in accordance with the laws of the state where Illicus is incorporated, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in that jurisdiction.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Site after changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
